TDH3 Systems service terms

These service terms apply to paid TDH3 Systems subscriptions supplied by TDH3 Systems Ltd (company number 17419887), registered in England and Wales, with its registered office at 27 Old Gloucester Street, London, England, WC1N 3AX. They are intended for business customers only.

1. The service

TDH3 Systems provides hosted business-operations software for lifting, crane hire, plant, HIAB, specialist transport and related operations. The functions available to a customer depend on the selected package, onboarding scope, configuration and any separately agreed integrations or services.

TDH3 is an administrative and operational software tool. It does not replace competent persons, appointed persons, operators, transport managers, engineers, accountants, legal advisers or other qualified professionals. Customers remain responsible for safety-critical, regulatory and professional decisions and for checking source information, load charts, inspection records, lift plans and other operational evidence before relying on it.

2. Orders, subscriptions and renewal

A subscription starts when TDH3 Systems confirms the customer's onboarding and Stripe records the applicable paid subscription. Monthly subscriptions renew monthly and annual subscriptions renew annually unless cancelled before the next renewal.

The package, billing interval and price shown in TDH3 and Stripe at checkout form part of the order. Any separately signed order form, statement of work or written commercial agreement takes priority if it expressly conflicts with these terms.

3. Charges, taxes and payment

Subscription charges are collected through Stripe. Published prices are exclusive of VAT or similar taxes unless stated otherwise. Any tax that TDH3 Systems is legally required to charge will be added or collected as required by law.

Customers authorise recurring collection for the selected billing interval. Failed or overdue payments may cause access to be restricted, placed into read-only mode, suspended or cancelled in line with the billing status until payment is resolved.

4. Plan changes and cancellation

Authorised workspace owners or administrators may manage supported plan changes through the TDH3 billing area and Stripe customer portal. Where Stripe calculates a proration, charge or credit for a plan or billing-interval change, the amount displayed by Stripe applies to that change.

Customers may cancel through the supported billing controls. Standard cancellation takes effect at the end of the current paid billing period, so access continues until that date. Amounts already paid are not refundable merely because the customer stops using the service, except where a refund is required by law or TDH3 Systems agrees otherwise in writing.

5. Customer accounts and responsibilities

The customer must provide accurate account, billing and operational information, keep credentials secure, control who is authorised to use its workspace and promptly remove access for people who no longer require it. The customer is responsible for activity carried out through its authorised accounts unless caused by a failure of TDH3 Systems's security.

The service must not be used unlawfully, to infringe another person's rights, to introduce malicious code, to bypass security controls or to interfere with the service or another customer's data.

6. Customer data and privacy

The customer retains ownership of the business and operational data it submits to TDH3. For customer operational data, the customer normally acts as controller and TDH3 Systems acts as processor. TDH3 Systems processes personal data in accordance with the privacy notice and data processing terms, together with any separate signed data-processing agreement that expressly replaces those terms.

Customers must ensure they have a lawful basis for the personal data they place in TDH3 and must not upload information they are not authorised to process.

7. Security, availability and maintenance

TDH3 Systems uses reasonable technical and organisational measures to protect the service and customer data. No online service can be guaranteed to be uninterrupted or error-free. Planned maintenance, provider outages, emergency security work and events outside reasonable control may temporarily affect availability.

Unless a separate written service-level agreement says otherwise, no specific uptime percentage, response time or recovery time is guaranteed.

8. Third-party services and integrations

TDH3 may connect with hosting, payment, email, mapping, communications, telematics or other third-party services. Those services remain subject to their own availability, terms and technical limitations. A requested custom integration is not included unless TDH3 Systems has confirmed its scope, price, delivery assumptions and support responsibility in writing.

9. Intellectual property

TDH3 Systems and its licensors retain all rights in the software, service design, documentation, branding and other materials supplied as part of TDH3. During an active paid subscription, the customer receives a non-exclusive, non-transferable right for its authorised users to use the service for the customer's internal business operations.

The customer must not copy, resell, sublicense, reverse engineer or use TDH3 to build a competing product except to the extent a restriction cannot lawfully be enforced.

10. Suspension and termination

TDH3 Systems may suspend access where reasonably necessary for security, suspected unlawful use, material breach, non-payment or to protect customers or the platform. Where reasonably practicable, TDH3 Systems will give notice and an opportunity to resolve the issue.

Either party may terminate for a material breach that is not remedied within a reasonable period after written notice, where the breach can be remedied. Rights and obligations that are intended to continue after termination, including payment obligations, confidentiality, intellectual-property rights and liability provisions, continue.

11. Liability

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited.

Subject to that, TDH3 Systems is not liable for indirect or consequential loss, loss of profit, revenue, business, anticipated savings or goodwill. TDH3 Systems' total aggregate liability arising from the paid service in any rolling 12-month period is limited to the subscription fees paid or payable by the customer for that period, except where a different limit is expressly agreed in writing.

The customer remains responsible for maintaining appropriate business-continuity procedures and for independent verification of safety-critical or regulated decisions.

12. Changes to the service or these terms

TDH3 Systems may improve or change the service as the platform develops. Material changes that significantly reduce a paid core capability will not be applied arbitrarily during a committed paid term. TDH3 Systems may update these terms for legal, security, operational or product reasons and will give reasonable notice of material changes where practicable.

13. General

Neither party may transfer the agreement without the other's consent, except that TDH3 Systems may transfer it as part of a genuine corporate reorganisation or sale of the business or relevant assets. A delay in enforcing a right does not waive that right. If a provision is unenforceable, the remaining provisions continue.

These terms and any applicable order form are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, unless the parties agree otherwise in writing.
